PARCEL DELIVERY TERMS AND CONDITIONS

Parcel Shipping Services Powered by TotalShip

These Parcel Delivery Terms and Conditions (“Parcel Terms”) govern all parcel, courier, express, ground, domestic, cross-border, and international parcel shipping services (“Parcel Services”) requested, booked, purchased, accessed, or otherwise arranged through Newmarket Equipment Inc. (“Newmarket Equipment”), including Parcel Services made available through Newmarket Equipment’s co-branded shipping platform powered and/or supported by TotalShip (“TotalShip”).

For purposes of these Parcel Terms, “Customer,” “you,” and “your” mean the person, company, organization, shipper, consignor, consignee, cargo owner, or other party requesting, booking, paying for, tendering, or receiving Parcel Services.

Carrier” means the courier, parcel carrier, postal operator, air carrier, ground carrier, or other transportation service provider physically handling or transporting a shipment.

 

1. ACCEPTANCE OF PARCEL TERMS

Subject to any separately executed written agreement between Newmarket Equipment and Customer, these Parcel Terms apply to every parcel shipment booked, tendered, processed, or transported through Newmarket Equipment’s Parcel Services.

By:

  • Accessing or using Newmarket Equipment’s parcel shipping portal;

  • Accessing a Newmarket Equipment co-branded TotalShip platform;

  • Creating or maintaining a parcel shipping account;

  • Requesting or accepting a parcel quotation or rate;

  • Generating a shipping label;

  • Booking or confirming a shipment;

  • Tendering a parcel to a Carrier;

  • Scheduling a pickup;

  • Using a Carrier account, label, tracking number, or service made available through Newmarket Equipment;

  • Paying for Parcel Services; or

  • Otherwise using Parcel Services provided or arranged by Newmarket Equipment,

Customer acknowledges and agrees that:

  1. Customer has had the opportunity to review these Parcel Terms;

  2. Customer agrees to be legally bound by these Parcel Terms;

  3. The individual booking or tendering the shipment represents that they have authority to bind Customer;

  4. Each parcel shipment is also subject to the applicable Carrier’s terms, tariffs, service guides, rules, restrictions, liability limitations, and conditions of carriage;

  5. These Parcel Terms are incorporated into every parcel quotation, booking, shipping label, shipment record, invoice, and service transaction; and

  6. No separate handwritten or electronic signature is required for these Parcel Terms to apply to the extent permitted by law.

If Customer does not agree to these Parcel Terms, Customer must not book, generate a label for, tender, or otherwise use Newmarket Equipment’s Parcel Services.

 

2. NEWMARKET EQUIPMENT / TOTALSHIP CO-BRANDED PARCEL SERVICES

Newmarket Equipment provides Customer access to parcel transportation solutions through a co-branded service offering utilizing technology, rates, carrier relationships, and/or logistics services provided or supported by TotalShip.

The Parcel Services may allow Customer to:

  • Obtain parcel shipping rates;

  • Compare available Carrier services;

  • Generate shipping labels;

  • Book pickups;

  • Create domestic and international shipments;

  • Access tracking information;

  • Review shipment activity;

  • Manage shipping records; and

  • Access other parcel transportation functionality.

Use of the Newmarket Equipment co-branded parcel platform does not mean that Newmarket Equipment physically transports every parcel.

Unless Newmarket Equipment expressly agrees otherwise in writing, parcel transportation is physically performed by the Carrier identified on the applicable shipping label, tracking record, waybill, or shipment documentation.

 

3. ROLE OF TOTALSHIP

TotalShip may provide technology, shipping-platform functionality, carrier connectivity, rating, booking, billing support, transportation procurement, shipment administration, claims support, or other services supporting the Newmarket Equipment Parcel Services.

Depending upon the shipment and service selected, TotalShip may act in different capacities in accordance with its applicable agreements and terms.

Customer acknowledges that Newmarket Equipment may transmit shipment information to TotalShip and applicable Carriers as reasonably necessary to quote, arrange, process, transport, track, invoice, and administer parcel shipments.

 

4. UNDERLYING CARRIER TERMS APPLY

Each parcel shipment is subject to the terms and conditions of the Carrier selected to physically perform transportation.

Depending on availability and service requirements, Carriers may include parcel and courier providers such as:

  • UPS;

  • FedEx;

  • Purolator;

  • DHL;

  • Loomis Express; and

  • Other parcel, courier, postal, air, ground, or transportation providers made available through the platform.

The applicable Carrier’s:

  • Terms and conditions;

  • Service guide;

  • Tariff;

  • Shipping rules;

  • Prohibited-item restrictions;

  • Packaging rules;

  • Weight and dimensional limits;

  • Surcharges;

  • Declared-value provisions;

  • Claims procedures;

  • Service-guarantee provisions; and

  • Liability limitations

are incorporated into and apply to the applicable shipment.

Where mandatory Carrier terms, tariffs, laws, conventions, or transportation regulations conflict with these Parcel Terms, the mandatory provision shall govern to the extent of the conflict.

Customer is responsible for reviewing the applicable Carrier’s terms before tendering a shipment.

 

CUSTOMER RESPONSIBILITIES

5. ACCURATE SHIPMENT INFORMATION

Customer is responsible for providing complete and accurate shipment information.

This includes, where applicable:

  • Shipper name;

  • Shipper address;

  • Shipper contact information;

  • Consignee name;

  • Complete delivery address;

  • Consignee telephone number;

  • Residential or commercial designation;

  • Parcel weight;

  • Parcel dimensions;

  • Number of packages;

  • Commodity description;

  • Declared value;

  • Country of manufacture or origin;

  • Customs value;

  • Harmonized System or tariff classification information;

  • Export information;

  • Dangerous Goods or Hazardous Materials information;

  • Delivery instructions; and

  • Any other information required by Newmarket Equipment, TotalShip, the Carrier, customs authorities, or applicable law.

Customer is responsible for charges, delays, penalties, corrections, re-rating, returns, or other costs caused by inaccurate or incomplete information.

 

6. WEIGHTS AND DIMENSIONS

Customer must enter the actual weight and outside dimensions of each parcel, including all packaging.

Carrier-measured weights and dimensions may supersede information entered by Customer.

Carriers may determine billable weight using:

  • Actual weight;

  • Dimensional weight;

  • Volumetric weight;

  • Oversized-package rules;

  • Additional-handling measurements; or

  • Other Carrier-specific rating methods.

Where a Carrier audits or corrects the weight or dimensions of a parcel, Customer authorizes Newmarket Equipment to invoice Customer for all resulting adjustments and surcharges.

 

7. PACKAGING

Customer is solely responsible for ensuring every parcel is properly packaged for ordinary transportation, sorting, conveyor handling, loading, unloading, and delivery.

Packaging must be appropriate for:

  • The weight of the contents;

  • Size and shape;

  • Fragility;

  • Commodity;

  • Method of transportation;

  • Distance travelled; and

  • Applicable Carrier requirements.

Customer must use sufficient:

  • Outer packaging;

  • Internal cushioning;

  • Sealing materials;

  • Labels;

  • Strapping, where appropriate; and

  • Protective material.

Newmarket Equipment does not warrant the adequacy of Customer’s packaging merely because a shipment was accepted by the platform or Carrier.

Loss or damage resulting from inadequate or inappropriate packaging may be excluded from Carrier liability.

 

8. LABELS AND SHIPPING DOCUMENTS

Customer is responsible for ensuring that:

  • The correct shipping label is attached securely to the correct parcel;

  • Old or conflicting shipping labels and barcodes are removed or obscured;

  • Labels are clearly visible and scannable;

  • Customs documents are properly completed and attached where required;

  • Shipment documentation accurately describes the contents; and

  • All Carrier-required documentation accompanies the shipment.

A shipping label may only be used for the shipment for which it was generated.

Customer shall not alter, duplicate, manipulate, transfer, or fraudulently use a shipping label, account number, tracking number, or Carrier credential.

 

9. PROHIBITED AND RESTRICTED GOODS

Customer shall not tender prohibited, illegal, restricted, dangerous, hazardous, or regulated goods unless:

  1. The applicable Carrier permits transportation of the goods;

  2. Customer has disclosed the nature of the goods in advance;

  3. Newmarket Equipment and/or TotalShip have approved the shipment where required;

  4. Customer has complied with all Carrier requirements; and

  5. Transportation complies with all applicable laws and regulations.

Prohibited or restricted commodities may include, depending upon the Carrier and service:

  • Explosives;

  • Dangerous Goods;

  • Hazardous Materials;

  • Flammable materials;

  • Radioactive materials;

  • Firearms or weapons;

  • Controlled substances;

  • Alcohol;

  • Tobacco or nicotine products;

  • Perishable goods;

  • Biological materials;

  • Human remains;

  • Currency;

  • Negotiable instruments;

  • Jewellery and precious metals;

  • Live animals;

  • Plants;

  • Certain batteries;

  • High-value goods; and

  • Other restricted commodities.

Carrier restrictions vary.

Customer must verify commodity eligibility before shipping.

 

10. DANGEROUS GOODS AND HAZARDOUS MATERIALS

Customer shall not tender Dangerous Goods or Hazardous Materials without prior disclosure and confirmation that the selected Carrier and service permit their transportation.

Customer is solely responsible for:

  • Proper classification;

  • Packaging;

  • Marking;

  • Labelling;

  • Documentation;

  • Training;

  • Declaration;

  • Quantity limitations; and

  • Regulatory compliance.

Customer shall be responsible for fines, penalties, cleanup costs, damages, claims, additional charges, or other expenses resulting from undeclared, improperly declared, improperly packaged, or non-compliant Dangerous Goods.

 

11. ADDRESS ACCURACY

Customer is responsible for ensuring that the delivery address is complete and accurate.

Additional charges may apply for:

  • Address corrections;

  • Postal-code corrections;

  • Rural or remote delivery;

  • Residential delivery;

  • Extended-area delivery;

  • Redirection;

  • Reconsignment;

  • Return to sender; or

  • Other address-related services.

Customer shall be responsible for all Carrier-imposed address correction and related charges.

 

RATES AND CHARGES

12. PARCEL RATES

Parcel rates displayed or quoted through the Newmarket Equipment co-branded platform are based on the shipment information provided at the time of rating.

Rates may change if:

  • Actual weight differs;

  • Actual dimensions differ;

  • The delivery address is corrected;

  • The residential/commercial designation changes;

  • The Carrier applies additional handling;

  • The parcel is considered oversized;

  • Fuel surcharges change;

  • Duties or taxes apply;

  • Remote-area surcharges apply;

  • Customs services are required;

  • A shipment is returned;

  • Delivery is reattempted; or

  • Other Carrier accessorial services are assessed.

Customer agrees to pay all final charges assessed in connection with the shipment.

 

13. CARRIER SURCHARGES AND ADJUSTMENTS

Customer is responsible for all Carrier surcharges and post-shipment adjustments, including, where applicable:

  • Fuel surcharge;

  • Residential surcharge;

  • Delivery-area surcharge;

  • Extended-area surcharge;

  • Remote-area surcharge;

  • Additional handling;

  • Oversize or large-package surcharge;

  • Dimensional-weight adjustment;

  • Address correction;

  • Signature service;

  • Adult signature;

  • Saturday or weekend service;

  • Pickup charges;

  • Customs charges;

  • Brokerage charges;

  • Storage;

  • Duties and taxes;

  • Return charges;

  • Re-delivery;

  • Peak or demand surcharges; and

  • Other Carrier charges.

These charges may be invoiced after the original parcel transportation charge.

 

14. TAXES, DUTIES AND CUSTOMS CHARGES

Unless expressly included in writing, parcel rates do not include applicable:

  • GST;

  • HST;

  • QST;

  • Sales taxes;

  • Customs duties;

  • Import taxes;

  • Brokerage charges;

  • Government fees; or

  • Regulatory assessments.

Customer is responsible for all applicable taxes, duties, brokerage fees, and customs-related charges.

Where Customer instructs that such charges be collected from a consignee or third party and that party fails to pay, Customer remains responsible for the charges.

 

PAYMENT

15. PAYMENT TERMS – NET 30

Where credit has been established with Newmarket Equipment for Parcel Services, Customer shall pay invoices within thirty (30) days (Net 30) from the invoice date unless different terms are expressly agreed upon in writing.

Newmarket Equipment may suspend Parcel Services or credit privileges where Customer’s account becomes overdue.

Customer remains responsible for:

  • Original shipping charges;

  • Carrier adjustments;

  • Accessorial charges;

  • Duties;

  • Taxes;

  • Customs charges;

  • Return charges;

  • Claims-related charges; and

  • Other amounts assessed in connection with Customer’s shipments.

Except where prohibited by law, Customer may not withhold payment of transportation invoices because of a pending cargo loss, damage, delay, or service claim.

 

PICKUP AND DELIVERY

16. TRANSIT TIMES

Transit times displayed by the platform or Carrier are generally estimates unless the applicable Carrier expressly provides a guaranteed service.

Estimated transit times may be affected by:

  • Weather;

  • Traffic;

  • Carrier capacity;

  • Customs clearance;

  • Border delays;

  • Incorrect addresses;

  • Receiver availability;

  • Natural disasters;

  • Labour disruptions;

  • Government actions;

  • Security inspections;

  • Peak shipping periods; and

  • Other circumstances beyond reasonable control.

Newmarket Equipment does not independently guarantee Carrier pickup or delivery times unless such guarantee is expressly provided in writing.

 

17. DELIVERY

Delivery shall be governed by the applicable Carrier’s delivery procedures.

Depending on the service selected, delivery may be completed through:

  • Recipient signature;

  • Release without signature;

  • Delivery to an authorized person;

  • Delivery to a reception or mailroom;

  • Safe-drop procedures;

  • Delivery to an authorized pickup location; or

  • Other Carrier-approved delivery methods.

Customer is responsible for selecting any required signature or delivery-control service when booking.

 

18. UNDELIVERABLE OR REFUSED PARCELS

If a parcel cannot be delivered because of:

  • An incorrect or incomplete address;

  • Receiver refusal;

  • Receiver absence;

  • Customs issues;

  • Prohibited contents;

  • Failure to pay duties or taxes;

  • Insufficient delivery information; or

  • Other circumstances,

the Carrier may return, redirect, store, dispose of, or otherwise handle the parcel according to its applicable terms.

Customer shall be responsible for all resulting charges.

 

INTERNATIONAL PARCEL SHIPMENTS

19. CUSTOMS DOCUMENTATION

Customer is solely responsible for providing accurate and complete international shipping and customs documentation.

This includes, where applicable:

  • Commercial invoice;

  • Commodity descriptions;

  • Customs value;

  • Country of origin;

  • Harmonized System classification;

  • Export information;

  • Import permits;

  • Certificates;

  • Licences; and

  • Other required documentation.

Newmarket Equipment or TotalShip may assist Customer with transmission or preparation of certain shipping information, but Customer remains responsible for the accuracy and legality of all information provided.

 

20. CUSTOMS CLEARANCE

Customs authorities may inspect, detain, open, delay, reject, seize, or assess charges against shipments.

Newmarket Equipment does not control customs authorities and is not responsible for delays caused by customs processing or governmental action.

Customer shall be responsible for duties, taxes, brokerage charges, storage charges, penalties, or other costs associated with customs processing unless otherwise expressly agreed.

 

LOSS, DAMAGE AND CLAIMS

21. CARRIER LIABILITY

Liability for parcel loss or damage is primarily governed by:

  • The applicable Carrier’s terms and conditions;

  • The Carrier’s tariff or service guide;

  • Applicable declared-value provisions;

  • Applicable laws and international conventions; and

  • Any additional coverage expressly purchased for the shipment.

Declared value is not necessarily the same as cargo insurance.

Customer is responsible for reviewing the selected Carrier’s liability limits before shipping valuable goods.

 

22. STANDARD MAXIMUM LIABILITY

Unless a different Carrier-specific liability limit applies, additional protection has been purchased and accepted, or mandatory law requires otherwise, the standard maximum liability applicable through the TotalShip-supported parcel program may be limited to the lesser of the actual proven loss and:

$2.00 CAD per pound; or
$4.41 CAD per kilogram

of the goods actually lost or damaged.

Carrier-specific limits, exclusions, and released-value provisions may further restrict recovery.

Customer should request additional protection before shipment where the value of the goods exceeds the applicable standard liability.

 

23. DECLARED VALUE AND ADDITIONAL PROTECTION

Where available, Customer may request additional declared-value protection or shipment insurance before the shipment is tendered to the Carrier.

Additional charges may apply.

Any request must:

  • Be made before Carrier acceptance;

  • Accurately state the value of the goods;

  • Comply with Carrier limits and commodity restrictions; and

  • Be accepted through the applicable shipping process.

Payment of a declared-value charge does not guarantee payment of a claim.

Claims remain subject to applicable exclusions, proof requirements, Carrier rules, and coverage conditions.

 

24. INSPECTION AT DELIVERY

Customer should instruct recipients to inspect parcels at delivery.

Visible:

  • Damage;

  • Shortage;

  • Tampering;

  • Crushing;

  • Puncturing;

  • Wetness; or

  • Other irregularities

should be documented immediately.

The recipient should preserve all packaging and contents.

 

25. CLAIM REQUIREMENTS

Claims must be submitted according to applicable Carrier and TotalShip procedures and within all applicable filing deadlines.

Customer may be required to provide:

  • Tracking number;

  • Original invoice;

  • Proof of value;

  • Proof of purchase;

  • Photographs;

  • Packaging photographs;

  • Repair estimates;

  • Proof of delivery;

  • Description of loss or damage;

  • Claim amount; and

  • Other supporting documentation.

All original packaging and damaged goods must be preserved until the claim has been resolved or inspection requirements have been waived.

 

26. PAYMENT BEFORE CLAIM PROCESSING

Unless otherwise required by law or agreed in writing, transportation invoices and charges associated with the shipment must be paid in full before a cargo or service claim is submitted or processed.

Payment of the transportation invoice does not constitute acceptance or rejection of the cargo claim.

Any approved reimbursement will be processed following completion of the applicable investigation and settlement process.

 

27. CLAIMS ARE SUBJECT TO CARRIER DECISION

Where the claim relates to physical transportation performed by an independent Carrier, claim approval is subject to the Carrier’s applicable claims procedures, liability provisions, exclusions, and determination.

Newmarket Equipment and/or TotalShip may assist Customer in presenting and administering a claim but do not guarantee that the Carrier will approve or pay the claim.

 

LIMITATION OF LIABILITY

28. NEWMARKET EQUIPMENT’S ROLE AND LIABILITY

To the extent Newmarket Equipment arranges Parcel Services using TotalShip and/or an independent Carrier rather than physically transporting the parcel itself, Newmarket Equipment’s responsibility is limited to the services it actually performs.

Newmarket Equipment shall not assume greater cargo liability than the physical Carrier unless Newmarket Equipment expressly accepts such liability in writing.

Any cargo recovery shall remain subject to:

  • Applicable Carrier liability;

  • Declared-value limitations;

  • Purchased protection;

  • Mandatory law; and

  • These Parcel Terms.

 

29. CONSEQUENTIAL DAMAGES

To the fullest extent permitted by applicable law, Newmarket Equipment shall not be liable for indirect, incidental, special, exemplary, punitive, or consequential losses arising from Parcel Services.

This includes, without limitation:

  • Lost profits;

  • Lost sales;

  • Loss of production;

  • Loss of use;

  • Lost business opportunity;

  • Loss of goodwill;

  • Business interruption;

  • Consequential losses resulting from delay; and

  • Penalties owed by Customer to third parties.

 

30. CUSTOMER INDEMNIFICATION

To the extent permitted by law, Customer agrees to defend, indemnify, and hold harmless Newmarket Equipment, TotalShip, and their respective affiliates, directors, officers, employees, agents, service providers, and contractors from claims, liabilities, penalties, fines, costs, damages, and reasonable legal expenses resulting from:

  • Customer’s breach of these Parcel Terms;

  • Inaccurate shipment information;

  • Incorrect weight or dimensions;

  • Improper packaging;

  • Improper labelling;

  • Prohibited goods;

  • Undeclared Dangerous Goods;

  • Customs violations;

  • Customer’s violation of law;

  • Customer negligence or misconduct; or

  • Customer’s unauthorized or fraudulent use of shipping accounts, labels, rates, or systems.

This provision does not apply to the extent the applicable claim is directly caused by the negligence or wrongful conduct of the party seeking indemnification.

 

TECHNOLOGY AND PLATFORM USE

31. CUSTOMER ACCOUNT SECURITY

Customer is responsible for maintaining the confidentiality and security of all:

  • Usernames;

  • Passwords;

  • Shipping credentials;

  • Account numbers;

  • API credentials; and

  • Other access information.

Customer is responsible for activity performed through its account by authorized users.

Customer shall immediately notify Newmarket Equipment of suspected unauthorized account access.

 

32. ACCEPTABLE PLATFORM USE

Customer shall not:

  • Use the platform for unlawful purposes;

  • Circumvent rates or billing systems;

  • Manipulate parcel dimensions or weights;

  • Create fraudulent labels;

  • Resell shipping labels without authorization;

  • Access another customer’s account;

  • Attempt to interfere with platform security;

  • Reverse engineer protected platform functionality; or

  • Otherwise misuse the system.

Newmarket Equipment may suspend or terminate access where misuse is suspected.

 

33. PLATFORM AVAILABILITY

Newmarket Equipment does not warrant uninterrupted availability of the parcel shipping platform.

Access may be temporarily interrupted by:

  • System maintenance;

  • Carrier outages;

  • Internet failures;

  • API interruptions;

  • Cybersecurity events;

  • Third-party service failures; or

  • Other technical circumstances.

Newmarket Equipment will use commercially reasonable efforts to support continued service but shall not be liable for temporary platform interruptions beyond its reasonable control.

 

PERSONAL INFORMATION AND DATA

34. SHIPMENT INFORMATION

Customer authorizes Newmarket Equipment to provide shipment-related information to TotalShip, applicable Carriers, customs brokers, customs authorities, technology providers, and other service providers where reasonably necessary to perform Parcel Services.

Such information may include:

  • Customer information;

  • Shipper information;

  • Recipient information;

  • Addresses;

  • Telephone numbers;

  • Email addresses;

  • Shipment descriptions;

  • Customs data; and

  • Tracking information.

Customer represents that it has the lawful authority to provide this information.

 

35. PRIVACY

Use of Newmarket Equipment’s Parcel Services is also subject to Newmarket Equipment’s applicable Privacy Policy and, where applicable, the privacy requirements governing services provided through TotalShip and individual Carriers.

 

GENERAL CONDITIONS

36. FORCE MAJEURE

Newmarket Equipment shall not be liable for delay, interruption, failure, loss, or additional expense caused by circumstances beyond its reasonable control, including:

  • Severe weather;

  • Natural disasters;

  • Fire;

  • Flood;

  • War;

  • Terrorism;

  • Civil unrest;

  • Labour disruption;

  • Carrier interruption;

  • Government action;

  • Border closure;

  • Customs delays;

  • Epidemic or pandemic;

  • Transportation network disruption;

  • Cyber or telecommunications outage; or

  • Other comparable circumstances beyond reasonable control.

 

37. SUSPENSION OR TERMINATION OF PARCEL SERVICES

Newmarket Equipment may suspend or terminate Customer’s access to Parcel Services for:

  • Non-payment;

  • Fraud or suspected fraud;

  • Account misuse;

  • Repeated weight or dimensional discrepancies;

  • Prohibited shipments;

  • Regulatory violations;

  • Dangerous Goods violations;

  • Security concerns;

  • Breach of these Parcel Terms; or

  • Termination or suspension of the applicable TotalShip or Carrier service.

Customer remains responsible for all charges incurred before suspension or termination.

 

38. ORDER OF PRECEDENCE

Parcel shipments may be governed by several documents and contractual provisions.

Subject to mandatory law, where provisions conflict, the following order of precedence shall generally apply:

  1. Mandatory applicable laws, regulations, and international conventions;

  2. The physical Carrier’s mandatory tariff and terms governing the transportation;

  3. Any shipment-specific written agreement or quotation issued by Newmarket Equipment;

  4. These Newmarket Equipment Parcel Delivery Terms and Conditions; and

  5. Other general service documentation.

Nothing in these Parcel Terms is intended to increase a Carrier’s statutory or contractual liability beyond the liability otherwise applicable to the shipment.

 

39. SEVERABILITY

If any provision of these Parcel Terms is determined to be invalid, illegal, or unenforceable, that provision shall be limited or severed to the minimum extent necessary.

The remaining provisions shall continue in full force and effect.

 

40. NO WAIVER

Failure by Newmarket Equipment to enforce any provision of these Parcel Terms shall not constitute a waiver of that provision or any other provision.

 

41. GOVERNING LAW AND JURISDICTION

Subject to mandatory laws applicable to an individual shipment, these Parcel Terms shall be governed by and interpreted in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.

Subject to any mandatory statutory jurisdiction, Customer agrees to submit disputes concerning Newmarket Equipment’s Parcel Services to the courts of the Province of Ontario, Canada.

 

42. WEBSITE TERMS AND UPDATES

The current version of these Parcel Terms shall be maintained on Newmarket Equipment’s website.

Newmarket Equipment may amend these Parcel Terms from time to time.

Unless otherwise required by law, the version published when Customer books or tenders the applicable parcel shipment shall govern that shipment.

Customer is responsible for reviewing the applicable Parcel Terms before booking a shipment.

 

43. WEBSITE AND PLATFORM ACCEPTANCE

Customer expressly acknowledges and agrees that a separate signature is not required for these Parcel Terms to apply, to the extent permitted by applicable law.

By accessing Newmarket Equipment’s co-branded parcel platform, obtaining a parcel rate, creating a shipping label, booking a pickup, confirming a shipment, or tendering a parcel for transportation, Customer:

  1. Acknowledges that these Parcel Terms are available for review;

  2. Confirms that Customer has had the opportunity to review them;

  3. Agrees to be legally bound by them;

  4. Confirms that the person booking the shipment is authorized to bind Customer;

  5. Accepts the applicable TotalShip-supported service requirements;

  6. Accepts the terms and tariffs of the Carrier selected for the shipment; and

  7. Agrees that each subsequent parcel shipment will be subject to the version of these Parcel Terms in effect at the time of booking.

IF CUSTOMER DOES NOT AGREE TO THESE PARCEL DELIVERY TERMS AND CONDITIONS, CUSTOMER MUST NOT CREATE A SHIPPING LABEL, BOOK A SHIPMENT, SCHEDULE A PICKUP, OR TENDER A PARCEL USING NEWMARKET EQUIPMENT INC.’S PARCEL SERVICES.

PARCEL SERVICES POWERED BY TOTALSHIP

Newmarket Equipment Inc. Parcel Delivery Services are offered through a co-branded parcel shipping solution powered and/or supported by TotalShip and participating parcel carriers.

BOOKING OR TENDERING A PARCEL CONSTITUTES ACCEPTANCE OF THESE TERMS.

By creating a label, booking, tendering, or otherwise using Newmarket Equipment Parcel Services, Customer accepts these Parcel Delivery Terms and Conditions together with all applicable Carrier terms, tariffs, restrictions, and conditions of carriage.

Customer Payment Terms: Net 30 Days, subject to approved credit.
